International Technology Transfer (ITT) greatly contributes to upgrading of technology and thus accelerating the pace of economy development. This paper will investigate the overall factors in the ITT system under the background of globalization of technology, making comprehensive analysis of the internal and external factors which have profound impact on the transferability of ITT. The internal factors includes: 1) TNCs - Technology Transferors 2) Indigenous companies - Technology Transferees 3) Technology itself. While on the other hand, the external factors includes:1)The level of technology transfer 2)The investment pattern of TNCs 3) The international and local policies of ITT.In the latter part, this paper mainly examined the correlation between the technology transfer related activities from TNCs (specially from FDI) and the technology upgrading (main technology innovation index) from the indigenous companies, and plus a case study on Airbus's technology transfer to China in order to analyze ITT effects from TNCs. Finally, in the light of the analysis, some related suggestions are proposed: First, the government should exert to play the role of guidance and encouragement in the Enterprises-centered innovation mechanism based on the adjustment and optimization of current technology policies: 1) Raise the threshold of foreign investment, being stricter to the quality of FDI. 2) Reinforce the protection of IPR (Intellectual Property Right), further promoting the NIS (National Innovation System). While for indigenous enterprises, they should balance well the Advanced-Technology introduction and independent technology innovation: on the one hand, integrating themselves to the global R&D system of TNCs; on the other hand, comprehensively strengthening the sense of independent technological innovation to build and upgrade their technology capacity.
