Study On Corporate Governance Of Overall Listing Of State-owned Listed Company

With the advance of economic globalization, corporate governance is still a hot topic on the research of enterprise within the international academy for decades. It is of significance that how to improve the level of corporate goverance for all state corporations in China when they face the competitions in all directions in new century. The state of corporate governance of the state-owned listed company, which as the representations of excellent companies, will influence the trend of whole development of state enterprises in our country. Therefore, it is instructive to study the corporate governance of state-owned listed company.This paper will discuss issues on corporate governance of Overall listing of State-owned listed Company, combined with the basic theories of corporate governance and the tendency of those theories. Then analyse two overall listing cases, both TCL Group and Bao Steel Group. From the study of this paper, it is found that the corporation governance of state-owned companies has been improved to some extent after the overall listing, But some problems left yet; The state-owned listed company should get more development on corporate governance through their overall listing. Overall listing can settle most connected transaction, while other problems of corporate governance still exist. To solve these problems, not only those companies need to reform, but also some related laws need to be perfected and Chinese capital market develops deeply.This paper set forth from two aspects: normative research and empirical research. Normative research goes through researching the basic theories and models of west corporate governance and finally gets some problems of Chinese overall listing governance. Empirical research goes through two typical enterprises to explore the present condition of corporate governance. Those two typical enterprises are: TCL Group and Bao Steel Group. After that, it draws a conclusion which helps to improve present problems. At last, some suggestions are made to settle down present troubles helpfully.There are more studies on corporate governance presently; some articles on overall listing either. But these articles almost are critical article published on journal or newspaper, it contains much general things. The creative point of this paper is catching the social focus-overall listing in capital market, and taking the theories of corporater governance as tools to discuss issues of overall listing clearly. Taking this popular question as research object has great creative meaning to our study both on corporate governance and capital market.
