Study Of The Overall Listing Of State-owned Holding Company Governance Issues

After the reform of stock right splitting, state-owned assets supervision and administration commission of the state council encourages state-owned corporations to overall list this year. But overall listing can not cure the present government problems of Chinese listing companies. After the overall listing, some troubles resulted from corporation governance of state-owned companies still exist, even stir up some other troubles. This paper selects overall listing state-owned companies as object to discuss the present corporation governance in china.This paper sets forth from two aspects: normative research and empirical research. Normative research goes through researching the basic theories and models of west corporation governance and finally gets some problems of Chinese overall listing governance. Empirical research goes through two typical firms to explore the present condition of corporation governance. Those two typical firms are: TCL Group and Bao Steel Group. After that, it gets a conclusion which helps to improve present problems. At last, we make some suggestions which help to settle down present troubles.The creative point of this paper is its topic angle. Tracing back to the related studies of corporation governance, we can find that there are so many related macro studies but few micro studies, especially aiming at overall listing state-owned companies. Taking this popular question as research object has great creative meaning.From the study of this paper, the corporation governance of state-owned companies improved after the overall listing. But some problems left yet. Overall listing can settle down the relation trade, while other problems of governance still exist. To solve these problems, not only companies need to reform, but also some related laws need be perfected and also Chinese capital market develops deeply.
