Incentive is the core issue of corporate governance. An effective incentive mechanism for the establishment and operation of enterprises can bring vitality, competitiveness is a key to the growth of enterprises. Based on the theory of incentives and stakeholders to jointly deal with the corporate, this paper think the past study mainly focused on the basic operators of the enterprise. But how to care about the interests of stake holders and build the centive mechanism under the corporate management is the key factor for the Long-term survival and development of enterprises. Exploring the Construction enterprises as a prerequisite and incentive mechanisms, through the analysis of the preliminary construction of the stakeholders in enterprise management incentive mechanism. This paper build the basically theory of the social contract and social responsibility and integrated them tighter. The interests of stakeholders interests were investigated. Shareholders were addressed mainly to title deeds mechanism of incentives for managers with a variety of ways and mechanism of incentives for employees, people-oriented is important. Fore creditors, the main mechanism should be ensured. On the other hand, team-based mechanism is suit for employees, brokers and suppliers and social responsibility based incentive mechanism for enterprise competitors and the government, and social external environment to shoulder social responsibility based incentive mechanism.
