Since 1980s' metaphase, it have teemed with the paper on Corporate governance mechanisms and corporate performance. Specially recently, the research on connection between board of directors and corporate performance deeply deployed, and also obtain much valuable conclusion. Being one of the key corporate governance mechanisms, the board of directors plays an important role in corporate performance. The board of directors' daily operation directly embodies the function of corporate governance and value creation. Nevertheless last research mostly give attention to the structure and the size of the board of directors, few on board of directors' behavior and not deeply.The paper strive to absorb last theory, and introduce into Generalized Regression Neural Network(GRNN) in company with traditional means to analysis the connection between the board of directors' behavior and financial performance of medicine listed companies.The paper firstly depicted the trait of medicine industry. Then stated and analysised general situation, and test the hypothesis with last model. Finally the paper analysed the error with GRNN. The paper shows that more times of meeting of listed companies boards of directors in China mainland don't obviously improve companies following performance, but to some extent bring negative effects, and the board of directors couldn't control expense efficiently. Empirical study points out that the quality of their boards of directors behavior should be improved.Our most important contribution lies in the test to the connection between the board of directors' behavior and performance of medicine listed companies, and build GRNN to analyzed the error of approach and forecast.
