This thesis is to aim at examining Taiwan's corporate governance issues through Procomp case study. The case company Procomp declared financial distress and filed legal reorganization unexpectedly owing to being unable to repay convertible bonds in 2004. Further investigation shows that the firm's manager stole the firm's assets through financial statement window dressing tricks such as false international transactions.The purpose of this thesis is:1,To investigate the current Taiwan's corporate governance system and important issues.2,To make suggestions and revisions to current corporate governance system.This research adopts research approaches such as Literature Analysis Method, Institutional Method, and Comparative Method to investigate Taiwan's current corporate monitoring system such as firm's internal control system, CPA firm's auditing practices, SEC's supervision system, and so on. The research sources are from various forms such as research papers, textbooks, government publications. The study is also to compare corporate governance systems and economic crime guards regulation between British/ American versus Chinese/Germany/Taiwan legal system.In conclusion, to help govern corporate business activities and prevent economic crimes, the study proposed suggestions to current corporate governance practice from various aspects such as firm's internal and external control, regulation, and the judicature. The main conclusion is that economic crimes are not just the same as general crime elements; two additional factors cause the crime. One is regulator's "lacks of surveillance", and the other is manager's "irresponsibility" (DasPrinzip Verantwortungslosigkeit).
