At present, China's foreign-funded enterprises are in the forms of: Chinese-foreign equity joint ventures, Chinese-foreign con-tractual joint ventures and foreign-owned enterprises. The administration reform and "open door" policy are undergoing. As the country takes its responsibility as a WTO member, the country is increasingly recognize importance of foreign investment. Advanced technologies are more rapidly introduced to mainland China as the Mainland is promoting the economic and technological development. Foreign enterprises are actively investing in China or run the company to take advantage of the affordable labor. Foreign enterprises often step into China through joint ventures and cooperation to get by the policies and local regulations.The cooperation between the mainland and Hong Kong enterprises are similar to Chinese-foreign con-tractual joint ventures in nature. Since 1997, Hong Kong's enterprises are more actively entering the mainland, brings advanced technology and management module. It facilitates the Mainland and Hong Kong's cultural exchange as well. In this paper, the focus is the comparative study of the Chinese-foreign con-tractual joint ventures, and Mainland-Hong Kong joint ventures. Also analyzed are the United States, Britain, Germany and Japan the management models.Given Hong Kong's geographical and historical uniqueness, Hong Kong style of the company's management integration of the Western culture and Confucian culture, and formed a unique family governance model. In cooperation with mainland enterprises operating in the two cultures, and management pattern produced a complementary and collision, there has been a series of problems. For example, cultural differences between the two sides and for the right of control, lack of independence of the board and management, strategy is not consistent and other issues. This problem through a series of research and traced back at the end, to manage the differences, enhance intermediation, and reach a win-win situation. Suggestions are made to improve the effectiveness of the Board of Directors and management. Special attention is given to the relationship between the board and management teams - Acting theoretical research, distinguish between the board and management functions, responsibilities. Enterprise's success depends not only on the board of directors and quality control staff, but also on the relationship between the enterprises leaderships. Efficient management brings production efficiency. Difference strategies are addressed in this paper to solve issues of many kind is also an integrated part of this study.
