Study On China Cross-border Mergers And Acquisitions

Cross-border mergers and acquisitions means that an enterprise of one country in order to achieve a particular purpose,another country through the purchase of shares or assets of an enterprise means to replace the latter or to obtain control of the latter act.From the beginning of the end of the 19th,the start of the 20th century globally experienced a total of five waves of mergers and acquisitions.Each wave of mergers and acquisitions has generated growth in Western countries and the national economy had a significant impact on development,from which emerged a number of large or very large multinational corporations.Cross-border mergers and acquisitions of Chinese enterprises began in the 20th century 80's,but China's overall economic strength and competitiveness of enterprises is not strong,the scale of cross-border mergers and acquisitions is low.Since reform and opening up,China's comprehensive national strength has been enhanced significantly,and gradually expand the scale of domestic enterprises,the profitability of the business and significantly enhance the competitiveness of Chinese enterprises to carry out cross-border mergers and acquisitions have the favorable conditions,through cross-border mergers and acquisitions of Chinese enterprises "going out "speed up the pace gradually. Although the Chinese enterprises to carry out cross-border mergers and acquisitions have favorable conditions,but because of its late start,there are many issues that need further study.In this paper, cross-border M&A cases abroad,regional choice,the issue of political obstacles,the financing problem, and cultural integration,professional advisory body to the issue of personnel training and professional, government functions,such as the positioning of the eight aspects the analysis,and proposed to develop a reasonable strategic planning,regional choice,payment,make great efforts to train professional advice agencies and professionals,attention to cross-border M&A cultural integration,the Government attaches great importance the role of cross-border M&A policy recommendations and so on.
