With the development of globalization and enterprise's self-strengthening, the fifth Cross-border Mergers & Acquisitions (M&A) Tide has risen globally since early 1990s as the competition intensifies and enterprises desire to expand. The global Cross-Border M&A Tide provides opportunities for the Chinese enterprises to develop. After China's accession into the World Trade Organization, Chinese economy cooperates with other countries better and better. Meanwhile, the Chinese companies are confronted with great challenges as foreign capital floods in and multinational companies merge Chinese companies. Therefore, the Chinese enterprises have to get actively involved in the tide with the aid of their own advantages such as local resources, so as to develop with a more highly effective way. Thus, Cross-border M&A will certainly become the fundamental mode for the Chinese enterprises to make investment abroad.The Chinese enterprises are still in infancy in cross-border M&A and are unable to compete with those in the developed countries. Facing the opportunities and challenges, it is of practical significance to argue cross-border M&A based on the current situation of the Chinese enterprises. Only the Chinese enterprises face up to their own deficiencies and make good use of various kinds of advantages, and actively meet the challenges of global economic integration, can they stand firm in the international competition.This article consists of three chapters, and the research technique is used in which the standard analysis and the real diagnosis analysis, the theory elaboration and exemplification are combined respectively. The first chapter elaborates the basic temporary characteristics of cross-border M&A by qualitative and quantitative analysis, fully using the statistical data and the graphs.
