Since 2008,there has been a world wide financial cris is.As the cris is develop,it is spreading from fictitious economy field to real economy field.Affected by the cris is, the global Hospitality Industry slipped into recession.Although our country was lower impacted by the cris is,for the facture of the outside dependency,our hospitality industry also felt the shock,especially those hotels whose customers were mostly come from abroad.In Shandong Province,the hotels are mostly Independent Hotels and owned by the state.Their productivity is extremely low.Now under the shock of the cris is,they have to face the most poorly expectation of market performance in this year.The cris is brings a disaster to our economy,but from other side,it also brings us the opportunity to deepen the reform of the hotel's property right,to perfect the hotel's modern enterprises system,to speed up the hotel industry's collective development. Before the cris is,the development of state-owned hotel business group have been spread all our country,but except one or two have been succeeded,the others have not seen any remarkable improvement.Now there is not a brand that equal in force of the foreign global hotel group's brand.In the face of the vast gap of hotel business group between home and abroad, people from the theory circle to the practice circle,from the central government to the local government,have reached a consensus,that is our hospitality industry should take the state-owned enterprise system reform as a chance to speed up the industry's collectivize development.However,the collectivize development of s tate-owned hotel is not that simple.The administrative trans fer of state-owned property and unitive brand could not guarantee the success of the hotel business group.Research shows that the maturity business model and efficient corporate governance could bring the hotel group to success.Under this background,this thes is chose the intemal corporate governance of hotel group as the theme,took use of the modern corporate governance theory and business group control theory,analyzed the development performance of our country's state-owned hotel group's corporate governance by Normative,qualitative research and case study.Through the study we found some problems in the development,such as the unqualified of the governance structure form,the administrativization selection of manager,the deficient of internal corporate incentive and commitment mechanism and the deficient of parent-subsidiary company's control mechanism.Then the paper analyzed the reason of the problem.On that basis of the analysis,the study take Shandong Province as an example,give the suggestion on the building principle,target and route of state-owned hotel group's internal corporate governance mechanism.Finally,the paper provided the detailed internal corporate governance mechanism of Shandong Province's hotel group,including the optimize the ownership structure and build the state assets' protection mechanism,corporate board's operational mechanism,corporate board of inspectors' operational mechanism, management governance mechanism,debt fundraising governance mechanism and the parent-subsidiary company's control mechanism.
