This paper takes the interest conflicts in land-acquisition as study objects. Firstly. it illustrates the theoretical basis of interest conflicts, including the property right theory, game theory, and social conflicts theory. Based on the three theories above, the paper analyzes the theory basis of happening of interest conflicts in land-acquisition. Then, the paper discusses the producing and the causing of interest conflict, and the modulation measures, of which mainly including analyzing the stakeholders, the subjects and objects of interest conflicts. The reasons that cause the interest conflicts in land-acquisition are stated as followed:including the imperfect of land-acquisition system, the fuzzy of collective land property rights, the imperfect of matching policies, the enhancement of rights protecting of farmers, and the ineffective of management of conflicts. We should take such following modulations to relieve the conflict degree in land-acquisition:perfecting the land-acquisition system, establishing the reasonable system of land compensation and interest-share, perfecting the matching system of security, establishing the operation and management of collective economic organization, establishing effective conflict management system. Finally, the paper takes the typical area__Xiaoshan District of Hangzhou City as example to make empirical study, the results show that during the conflicts in land-acquisition basically according with the regulation throughout the country, in the meanwhile, it also has its own regional characteristics.
