The Research On Management Control System Of S-Mining Group

Along with the accelerated process of economic globalization, the scale of the enterprises is gradually expanded, the number of China's enterprise groups is increased, management and control problem of the enterprise groups has become the research hotspot. Although there have been many successful management models in the foreign enterprise groups, but because the growth of enterprise groups in China has a short history, the management and control of enterprise groups have not formed a mature theory.This paper studies the management and control of the parent and subsidiary mining companies with S Mining Group as an example. Along with the deepening of enterprise reform, the management-level is increased, a subsidiary shows diversified development, S Mining Group exposed a series of problems:the control of too much death, a subsidiary will gradually lose its creativity and rapid response capabilities; control ineffective, so that a subsidiary of their own way deviate from the enterprise development strategies, squandering corporate resources and transfer of interest, improper formation of the internal competition between the cells. Therefore, analyzing the reasons for these problems and design suitable for China's mining enterprise group management and control model, has become of theoretical research and management practice of urgent needs.This study base on Commenting a large number of relevant literature, citing the ideas of the relevant literature, make achieving maximizing the enterprise group targeting to be the objective. From the corporation point of view, comparing three kinds of management control modes:the administrative-type model, governance model patterns and the characteristics of self-management-type model, while business groups have been affected parent-subsidiary control mode selection of the external environmental factors and internal factors, the integrated use of the strategy, finance, culture, human resources, information and other means of control.By researching the S Mining Group management control system, systematic analysis of the company's internal and external environment, also the content of the management control, dig out the management and control system problems:First, in the implementation of the parent company's corporate governance structure of the initial lack of an effective governance structure model; Second, a more centralized administrative-type model in a period of time has played a positive role in promoting development, but with the development of market economy has shown a clear lack of operability, integration, operations management more difficult; Third, there is no means of various controls and the corresponding control pattern matching, strategy, culture, information and other controls are not in place, resulting in control failures.The paper based on the question analysis, firstly, clear the parent company located in strategic decision-making center, control the focal point, staff service centers optimize the group presented the organizational structure, improve corporate governance measures and constructive comments given board of directors of the parent company's board of directors of professional committees, the board of supervisors to optimize the measure; according to the characteristics of internal and external environment, combined with the "four blocks," the current situation and development objectives, respectively, from the perspective of corporate governance, developed a different model of management and control programs, and focus on of strategy, finance, culture, human resources, information and other control methods to optimize the design. Thesis research is aimed at control of the S Group's research, trying to optimize for other mining group control system, reference and learn to play the role.
