There are two ways of farmers access to the market:single or organized. However, farmers are confronted with great potential risks when they get access to the market alone. For lack of organazional resources and spoke man,farmers are in an unfavorable position when competing with various interest groups, especially competetive markets. Compared with those highly organized and powerful interest group which have strong information and human resource,farmers are like separate sand. In that case,farmers need their own interest group, their own negotiatiant. FC isjust what farmer required.Farmers cooperative is another system innovation in China after the Household Contract Responsibility System. It makes single farmer and big market connected together, enhances farmers bargaining power in the market and boosts the specialization of agriculture in china. Based on the analysis of the effectiveness of FC's institution system, the paper analies the operating mechanism and institution system, which is of important significance to the development of FC in shaan xi and improving of farmers living condition.The paper is based on the analisis of development and characteristic of FC in shaan xi, mainly discusses the effectiveness of FC in trade cost saving which is contributed by the institution structure.moreover, the paper tries to find the potential problems in the terms of game theory. Three-side game model is created to analyse how to make FC system more effciently.And then proposes advices and proper measures after studing the development restrict factors of FC.,like intensifying publicity andeducation,providing sound exterior environment for the development of FC...
