Since the international-orientated strategy was pushed out by our government, Chinese private-owned enterprises have not only pursued in foreign trade business, but also devoted into internationalization through establishing overseas offices and distribution centers, even building production and sales bases. However, because of the complicated international market and fierce competition, and some conditional limits of international enterprises, problems of how to make them going out and what count for the successful internationalization of private-owned enterprises, were widely focused by governments, scholars and entrepreneurs.At first, based on the relevant theories of internationalization, the literatures, surveys and theories of internal factors influencing the process and performance of internationalization in recent 30 years were mainly investigated in the paper, and combined with the current situation of internationalization of our private-owned enterprises, the key factors were induced and hypothesis being put forward. Then some private-owned enterprises pursuing internationalization in Jiangsu province were taken for samples, as well as interviewed and investigated to select data. Through the use of SPSS13.0 as statistics tool, Empirical analysis was conducted to research the internal factors influencing internationalization of private-owned enterprises.It was concluded by the research that, the key internal factors influencing the internationalization of private-owned enterprises, in sequence were international knowledge factor, technological factor of products and internal managerial factor, and the key three factors were directly related to the internationalization in different degrees; then, the conditions of enterprises including time of establishment, time of pursuing internationalization, number of employees, yearly turnover and ratio of foreign investment share, have impacts on internationalization and its key influential factors.Based on the conclusions above, corresponding suggestions were put forward to help private-owned enterprises pursuing internationalization more effectively.
