The control force and adjustment method of the State-owned Capital havechanged greatly after China joined WTO and economic reform got more promotion.The 4 Plenum of the 15th CPC Central Committee and the 3 Plenum of the 16th CPCCentral Committee made definite guideline about State-owned Enterprise Reform,"Speeding up the Structural Adjustment and Reorganization of Enterprise", takemeasures of reorganization,Association,merger,Joint stock partnership,Leasing,Contracted Operation and Sale etc. to promote the transformation of managementmechanisms. To vigorously promote the development of the non-public sector of theeconomy and actively guide it, and conduct further studies and formulate specificmethods to encourage non-public enterprises to participate in the reorganization ofstate-owned enterprises and expand into infrastructure development, public utilities andother industries and domains.The policies encourage and promote private-owned enterprises to merger andreorganize small and medium-sized state-owned enterprises. Beijing Sanyuan GroupCo., Ltd. (called Sanyuan Group for short) is one of large-scale state-owned enterprisewhich carried out enterprises group pilots. The private-owned enterprise-BeijingLiando Investment (Group) Co., Ltd. (called Liando Group for short) merged SanyuanGroup at the background.As the primary member of the project team, the author took part in the Merger andAcquisition, and partook in the management of Sanyuan Construction (merged).Through his experience, the author analysis the case from enterprise strategy,the resultof the Merger and Acquisition and the proposal of the Merger and Acquisition, hepointed out some problems of enterprises operation and management when the private-owned enterprise was merging the state-owned enterprise and finished, and putforward countermeasure about the problems combining with the speculative knowledgeof Merger and Acquisition, he also expects to provide use for reference forprivate-owned enterprise merges state-owned enterprise.
