Private enterprises, is a growing point in China, so private enterprises is playing a more and more important role in economic and social development. Among them, the family enterprises are taking a very important role in the private enterprises. From the perspective of corporate governance structure, family enterprise management is the unity of ownership and management mode.At start-up stage, family enterprise is in a small scale, so the management of enterprises is simple, through simple ties link of the family management can achieve good business enterprise operation. But when the enterprises develop at a certain stage, the management will impede the further development of enterprises.Although different corporate governance system works in different ways, because the shareholder's right is the starting point of the corporate governance, so different ownership structure come into different corporate governance problems.So the corporate shareholders structure research is always the focus of corporate governance.As a growth point of China's economic development.In the organizational form, private enterprises adopt such as stock Co.,LTD or limited liability company, the modern corporate system, but due to some special reasons, the progress of introducing modern enterprise system, many private enterprises is inadequate, so essentially, for most of private enterprises are still controlled by the family. Although the family-enterprises develop rapidly, they also have lots of problems.And most of the problems have related to the structure of the ownership. Non-rational ownership of family enterprises is one of the reasons that the family enterprises can not live long and strength in China.Based on analyzing and summing up the current study about equity structure and governance modes, the author has the opinion that at the beginning of establishment of family businesses, the model of family businesses governance takes a very important part, but the fierce market competition environment requires the family enterprise to breakthrough their family boundaries, to combine social capital, so the family members and non-family members can share the ownership, the enterprise asset management and control of residual claims, these needs require the family enterprises to realize the inherent requirement of the enterprise reform. In order to support this view, this paper collects a typical cases, to study shareholders structure reform in different stage of development of BF family enterprise, to show process for its reform in the family enterprise development, and objectively sums up with the operation model, based on this, finds the enterprise success the reasons and experience-namely, scientific and reasonable stock settings and system construction. Of course this enterprise's success is not only due to successful good mechanism. Good enterprise culture construction is one of the important conditions for the enterprise smoothly toward the modern enterprise system...
