Venture Capital is a kind of investment method under the comparatively advanced capital market, it's very important for supporting innovators to start the business, promoting the scientific results to be changed into productivity and driving the high-technology industrialization. The objects of the Venture Capital are mostly related to the results transform of information technology, biology technology and some other high-technology. At the knowledge economy era, high technology is the hope of the economy development, it has not only changed the producing methods and technology instruments, but also brought about some new industry, increased the contribution rate of the new industry to the national economy. And the emergence of Venture Capital has just shoveled the commercialization obstacle of high–technology results.As the most advanced country of the Venture Capital development, the success of America is attributed to the rich scientific capacity, support from the government, good principle and legal environment, effective organization form, well-organized capital market, experienced Venture Capital professionals, good inspiring system of management team, research and exploitation activities related to the market. For China, because of the late start of the Venture Capital and other system problems, there exist several problems to be solved, including the wrong orientation of the government, lack of the laws and principles, single-origin capital, blocked withdrawing and lack of experienced Venture Capital professionals.In the first part of this article, I set forth the common knowledge of the Venture capital. In the second part, I reviewed the development process of the American Venture Capital and summarized the successful experiences of it. In the third part, I pointed out the problems existed in the Venture Capital of China in the first place, and then I put forward how to develop Venture Capital in China with the advanced experiences from American and the situation of our country.
