Foreign Direct Investment (FDI) had developed quickly in the recent ten years. It has been the most important push for globalization. Now WTO is developing a negotiation for constructing a Multi-lateral Frame on Investment (MFI). But MFI has different effect for different countries, especially between developed countries and developing countries.This paper starts from the currently global FDI development situation and Chinese FDI circumstance. Then forecast the future MFI system and get the conclusions. That is, totally understand MFI rules, confirm the negotiation strategies, maximize our profit. Then according to the special action and effect, set up a general analytical frame to analyze the MFI effect to developing countries, especially that to china. To china, participating MFI is good to attract FDI but it maybe bad to the ability to get profit from FDI and policies agility. At last, according to domestic economic situation and the policies function, we advance 4 suggestions to policies regulation. 1, take continuing to consummate the market economy and investment environment as the key to policies regulation; 2,go on adjusting and improve industries policies and other special laws;3,speed up central and western FDI to balance economy development; 4, improve FDI quality and quantity through FDI creation. This research attaches importance to the combination of theories and practice, according to FDI theories, systematically use criterion research method and demonstration research method to analyze Chinese FDI policy and give advice to it, that is : strive to connect FDI and economical structural regulation, industrial optimizing and upgrading, evaluating enterprise benefit; make effort to combine the foreign advanced technology and management experiences with our comparative advantages and outward economy; at last, the most important is to advance our FDI quality and quantity.
