Hengyang Real Estate Group Corporation, a subordinate institutionof Hengyang Real Estate Administrative Bureau, is now facing a threat ofsurviving. With the deepening of enterprise and housing reform and themass sales of the state-owned houses, the local city government begins toregard the state-owned houses as the basic fund of the state-ownedenterprises. This greatly changes the operating environment of thiscorporation. Its current stockholder's right structure and managementsystem can no longer adapt to the marketing system. Thus to reform thiscorporation becomes a must for its only way out. By intergrading theorywith case studies, this dissertation focuses on the analysis and design ofthe corporation's reform blue printFirst, the paper expatiates on the background of why this topic ischosen, where the research purpose lies and what analyzing ways areused. Then follow theories of experts from home and abroad related tothe reform of state-owned enterprises. Then, the paper introduces thebasic situation of this corporation, with the stress on its characteristics ofthe corporation's stockholder's rights structure, organization structure,human resource management, business composing, and enterprise cultureas well as the existent problems. After analyzing the stance ofrestructuring, the paper continues to put forward the restructuring aim,direction, ruling thoughts and fundamental principles. Besides this, it alsodesigns some concrete reforming plans concerning the corporate juridicalperson governance structure, organization structure adjustment, businessreforming and the rearrangement and separation of employees and theenterprise culture, which is followed by some specific experimenting measures. Finally, based on the combination of theoretical research andcase studies, a conclusion can be drawn that to restructure such acorporation, Hengyang Real Estate Group Corporation should adopt thefollowing approach—diversifying ownership, specializing operation andmarketing management to eventually achieve its final goal. That is—thecharacteristics of the corporation, the roles of the employees and themechanism of management are all changed.
