High-tech Enterprise Knowledge Workers Virtual Stock Option Incentive Model

The high-tech industry enhances day by day in the economical status, as its microscopic foundation, the high-tech enterprises mature and develop relying on its knowledge workers' management innovation and technology creates, how to incentive them creates the wealth for the enterprises, becomes the realistic question which enterprises continues to develop. Because of high-tech enterprises and its knowledge workers' distinctive quality, the traditional salary system cannot have the long-term incentive function, then it's necessary to take the stock incentive. But because our country has the environment barrier in taking stock incentive, the high-tech enterprises cannot directly quote the overseas pattern. Therefore, establishing one stock incentive pattern to adapt our country high-tech enterprises and its' knowledge workers characteristic becomes one of important tasks for enterprises to develop. I try to research in this field, look for high-tech enterprises' stock incentive pattern and carry on it to practice, and hope to offer certain reference value for enterprises of our country.This paper first proposed the selected topic background and research significance, research present situation of domestic and foreign, and the research mentality and main content. Then it analyzed the stock incentive outline, and the stock incentive rationale. Through analyzing the high-tech enterprise and its' knowledge workers' main characteristic, the paper pointed out the flaw of traditional salary system in the high-tech enterprise, thus draw out the necessity of adopt stock incentive, subsequently analyzed environment barrier of our country stock incentive, and according to all of these, I chose the suitable phantom stock option pattern for the high-tech enterprises. Through analyzing the EVA incentive, it introduced the EVA to the high-tech enterprises' phantom stock option content and design, then proposed the phantom stock option enviromnent foundation. Finally, I carried on analysis of real example to it, verificated the validity of phantom stock option, and gave the suggestion to the existing phantom stock option pattern.
