In the era of knowledge economy, High-tech enterprise will increasingly become a major growth point for economic development. High-tech enterprise with high growth and high value-added, high-risk and flexible features such as operational, and this determines the operation and management of such enterprises have their own characteristics. Executives as an important high-tech enterprise managers, are closely associated with the enterprise's survival and development. while the modern enterprise system, a key feature is the capital and management are separated, in such circumstances, how to coordinate the professional manager people and the rights of shareholders to effectively motivate professional managers in modern business management has become an important issue.At present, the majority of domestic high-tech enterprise executive 's salary can't adapt to the changes of the current environment, and still use the traditional salary model, which makes executive motive force decline, so high-tech enterprise executive stock option incentive plan presents in this paper.This paper deeply analyzed the executive stock option incentive theory, and the present conditions and existing problems regarding executive stock option incentive in high-tech enterprise of China. The designing of executive stock option incentive in HAINAN HAIYAO CO.,LTD. as an individual cases, analyzed the present conditions and existing problems regarding incentive mode, and put forward the more suitable to China's high-tech enterprise ESO incentive. Through the studying, this paper obtained three results:1.This paper introduced the development, the basic and the connotation thought of executive stock option incentive, further discusses the connotations and features of executive stock option incentive.2. With using the thought of stock option incentive, this paper studied the status of China's listed high-tech enterprises ESO incentive, further understood the problems to a certain degree, and presented the corresponding measures to deal with the problems.3.Based on the thought of ESO incentive, this paper conducted an empirical study on an example of HAINAN HAIYAO CO.,LTD., and provided the designing proposal of executive stock option incentive program for it. This Program has a practical value for executives long-term incentive in high-tech enterprise, and provides references for other types of enterprises' executive stock option incentive.
