The Besel committee published《Strengthening the Corporate Governance of Banks》in Sep 1999, which makes the global theoretic field and finance field focus on the corporate governance of banks. During the 20 years renovation of China's banks, some facial problems have been solved but some disadvantages are still existing in the corporate governance of China's banks which works as one of the most crucial factors of deciding the banks'performance. With the deepening of the renovation of banks and meeting the challenge of overall opening under the agreement of WTO, the very important problem we are meeting is how to form a suitable and efficient corporate governance model for China's banks by adjusting the banks'ownership structure, structuring corporate governance structure and improving corporate governance mechanism.The author researches China's banks renovation by studying the corporate governance of banks in this paper.Based on the reading, analyzing and researching many theories and research results on corporate governance, the author researches 7 China's listed commercial banks. By focusing on their ownership structure, corporate governance structure and corporate governance mechanism the author researches the issue by theoretical method and demonstration. Combining the comparison of 2 corporate governance models and the result of theoretical analysis and demonstration result, the author comes to a conclusion. The conclusion is that China's listed banks should form a Chinese corporate governance mode which absorbing some advantages from Franco-German Model. And the author points out some specific channels to realize this model. The research is aiming to give some improving suggestions for China's listed banks and banks that will be listed on the market in the near future.
