Along China's economic reform, the enterprise's commissioned-Acting problem gradually emerged, which is about the client's how to design a set of effective incentive and restraint mechanisms to maximize the agents in the fight for personal interests at the same time maximize the efforts to achieve the maximization of profits.It is an urgent need to solve the problems. Stock options system have been practiced in Western countries for many years, and is regarded as a solution to resolve long-term incentive problems, and also enhance the competitiveness of companies in a very good way. As China's listed companies share reform and the promotion of the "Company Law", "Securities Act" and other relevant laws and amendments, listed companies in China has improved stock options environment for the development of the system, "Stock Incentive Management Measures" ( Trial).The introduction of the system has provided good opportunities for development and guidelines. However, in recent years the United States listed companies Looking at the outbreak of a series of false financial events, we gradually became aware that this system is a "double-edged sword".We should be rationally conduct stock options in-depth research and reasonable improvements. The Study focused on problems arising from the implementation of the inherent defects, identify problems and lessons learned to better grasp the essence of the system of stock options, for the establishment of the national conditions of China.The system of stock options, therefore, is kind of research both in the right system, or timeliness of theory and practice at a meaningful choice.In this thesis, stock options system starts with the basic theory, the focus of China's new "Company Law" and "equity of listed companies incentive management,the approach" of listed companies after the implementation of incentive stock options in the stock option plan.An Empirical Analysis of listed companies is about the obstacles in the proces of China's implementation of this system. Finally, in light of China's national conditions, in the view of corporate governance, the external environment as well as design aspects of the three options, this thesis puts forward recommendations and the relevant preventive measures to improve our stock of the corresponding system policy.
