With china's entry into WTO and further development of market-oriented economy, the scale of private enterprises in china are getting increasingly strong, and their demand for capital is getting more and more; however, due to the direct and indirect ways of financing are not so smooth, their domestic financing is greatly restricted; more and more private enterprises chose to list in the overseas capital markets.Based on theories and practices, this dissertation mainly applies comparative research method, nd analyzes the reasons on listing abroad, the features and advantages of different capital markets, choices of foreign markets and listing mode, the problems they face to and the solutions on their lists overseas. The aim of this dissertation is to give some advice on listing abroad.The dissertation covers five sections.The first section is background knowledge and theoretical summary. It mainly introduce into financing theories and current situation on the research home and abroad. The third sector describes the capital markets in Hong Kong and the US. The fourth chapter analyzes the motive and the current situation the private enterprises list abroad.The second depicts the choice for private enterprises' list overseas. This section mainly analyzes the advantages of capital markets in Hong Kong and the U.S. the comparison on listing requirements, the cost and market choice list in the two capital markets.The third compares the listing modes in foreign markets from two angles.On basis of accounting, law, corporate governance, the fourth analyzes the questions faced by private enterprise and give solutions.The last chapter put forward some advice on driving china's private enterprises listing abroad.
