Merger and acquisition is an effective way for an enterprise to quickly pool funds under the market economy. Compared with the funding inside the enterprise itself, it has much greater advantages. To look at the growth history of the world's famous companies, all have been developed through merger and acquisition to a certain extent. Especially since the start of its fifth tidal wave, the mergers and acquisitions at the purpose of acquiring strategic resources and enhancing and extending core capabilities have swiftly and adroitly flourished to the surprise of the world. While the ultimate purpose of it is to improve the competitive edge of the enterprise and seek bigger and broader living space. In China, with the deeper implement of reform and opening up policy and the gradual end of the transition period for the entry into WTO and of the reform of stock rights sharing, enterprises here are facing new opportunities and challenges. Under this situation, this paper explores into matters concerning how to better know and use merger and acquisition strategy and how to avoid and control the risks during the process of work. Firstly, the paper gives a general description of the definition, meaning, classification and development history of enterprise merger and acquisition. Secondly, deeper research is given on the management of enterprise merger and acquisition, with the management process and content analyzed from the strategic point of view. And based on this, with the goal of implementing merger and acquisition strategy and improving its success rate, more space is spared on the theoretical and exemplificative analysis and research on the risks during the preparation of merger and acquisition, the information risks during the deal, the culture integration risks after the deal and so on, by using theories related to strategy management, investment, risk economy, project risk management, and etc. At the end, classified prevention advices and handling suggestions are raised for merger and acquisition risks.
