Research On Corporate Governance Model In State-owned Coal Group

With the continuous deepening of economic system reform, the state-owned coal group basically completed company system reform, established coal group in the form of parent-subsidiary company, preliminary established corporate governance structure. But because of the influence of planned economy system, some problems exist in corporate governance of the state-owned coal group, such as unreasonable share equity structure, the unbalance of corporate governance structure, and the unperfect of incentive and constraint mechanism. Therefore, it has very important practical significance to research the corporate governance model according to the coal enterprise practice.This paper investigates the internal and overseas present corporate governance, and analyzes the existing problems of corporate governance in the state-owned coal group. On this basis, this paper defines the conception of corporate governance, analyzes the difference in corporate governance model, proposes the ideas of perfecting the corporate governance model in the state-owned coal group from the aspects of governance structure and governance mechanism according to two rights separation theroy, principal-agent theory and stakeholder theroy. This paper separately analyzes the problems and its reasons of corporate goverance structure and corporate goverance mechanism in the state-owned coal group, proposes the steps and measures of reforming corporate goverance structure from the aspects of property right reform, share improvement, board of directors and board of supervisors, etc., and proposes the contents and measures of constructing corporate goverance mechanism from the aspects of internal and external corporate governance mechanism. And internal governance is the core of corporate governance. Meanwhile, according to the corporate governance practice of Linyi Mining Group, this paper researches the principle, steps and measures of establishing modern enterprise system in coal group, analyzes the effect of corporate governance reform in Linyi Mining Group, and summarizes the corporate governance mode of Linyi Mining Group.
