Comparison Of Internal Governance Structure Of Modern Chinese And Foreign Companies

Corporate governance issue is not only a focus taken by jurist, but also was more concerned by economists and sociologists. This paper begins with shareholders to focus on how to maximize shareholders' value as the logical starting point, through the various modes of corporate governance, and to find the relationships between shareholding structure and the company's internal governance structure. With further analysis of the different stake structure of the company's internal governance, this paper also makes a study of the impact of efficiency of the company's shareholding structure and the internal management structure and put forward some advice to eliminate the system defects in Chinese companies' internal governance structure and equity structure to better Chinese corporate system.The purpose of this paper is to explore how to bring into harmony the company's internal management structure and the company's shareholding structure of coordination and so the company's internal governance structure and arrangements for the protection of the interests of the shareholders of coordination into harmony, to enhance the operation more efficient. In the course of the study, the author mainly uses comparative analysis , logical analysis to make a research on three typical internal management structures of the world ,and the mode of China's internal governance structure to find the reason why the companies adopt different internal management structure.
