Group-owned enterprise, as a special kind of public-owned style, was produced and developed in China's transition from the planned economy to the market economy. Through several decades' development, its prominent problem of investor unclearness has become the limiting factor to its further development. In today's historical stage, it's urgent to solve the the problem of ownership unclearness. Therefore the group-owned enterprise must innovate its property right completely.Exploring a variety of forms of ownership transition methods and summarizing and assimilating the experiences and lessons of ownership innovations, and consciously understanding the difficulties and emphases of ownership innovation can direct us in implementing smoothly the ownership innovations and building new property right of group enterprises.Shandong Wuzhou Group, registered by a functional department of the local government in order to solve the employees' welfare problem in the early 1990s, is a representative case of China's group property right's emerging and innovating. Studying the Employee Stock Ownership Plan of Wuzhou Group to solve the problem of ownership unclearness can help us explore the proper employee stock ownership patterns and theories which fit to the reality of our country.Firstly , this thesis introduces the emerging and developing courses, present status of group owned enterprises and their existing main problems in the ownership field. Using the learned knowledge, through analyzing the existing theory of Employee Stock Ownership Plan, the thesis makes certain that the theory of laborer property right is a kind of available theory of property right innovation, which fits to the reality of our country. Based on the theory and taking the Wuzhou Group as example, the thesis explained in details the concrete scheme design, implement and effects of the Employee Stock Ownership Plan. It analyzed and made certain the core issues of the plan design, such as laborer property right structure design, the stock distribution principle and proportion, the measurement system of the new and senior employees' labor capital, stock setting, income allotment means, etc. And then the thesis analyzed the achieved effects of the Wuzhou Group's employee stock ownership plan implemented. Finally. The thesis also discussed the extending possibility of the Wuzhou Group's employee stock ownership plan, and analyzed the core issues of the group-owned enterprises' property right transition in our country and the main issues which should be concerned.The research of the thesis is expected to be beneficial to improving the level of application in property right innovation and to be used as reference during property right innovation of our country's enterprises. And it is also hoped able to find an effective method of property right transition for the group-owned enterprises which were produced due to our historical realities and contribute to perfect the theory on property right innovation of our country's group-owned enterprises.
