Starting from 2nd half of last century, Cross-border Merging & Acquisition has already become a major pattern of global FDI. Cross-border M&A has surpassed "green-field investment" 1 to be the No.1 investment mode in the terms of both finance volume and total numbers. However it is still not a very popular thing for China even after China has opened up for more than 30 years due to historic reasons.However we could predict more this cross-border M&A to be happened in China in the foreseeable future as China has already entered WTO and has closer relationship with international society. It is necessary to this topic, especially to study the reasons and characters.On one side, the cross-border M&A happened much earlier in other countries, many studies started abroad much earlier, while the studies in China are much later. On another side, the M&A is also experiencing the evolution at different period and in different economic environment. It always contains its special geographic and time characters from time to time. For example the cross-border M&A demonstrate different characters during the several global M&A waves. Even in China the cross-border M&A has different properties at different periods after China opening up to the world. Besides it also take differences between developed countries and developing countries. A fully copy the foreign studies and theories is not appropriate when looking at current China market. Referring to the international situations, the article is to study the recent cross-border M&A cases, especially typical cases happened in China recently. Based on the study on foreign research and theories, with referring the Chinese local conditions, the article is to generate or summarize the special characters of these recent cases in China, especially focusing on the reasons and the effects.By studying the M&A reasons and the effects, the article also drives into the policies, regulations, experience of other countries, and the China's current situation and relating regulations, the policies of Chinese government on foreign investment is also covered. By borrowing the good experience from other countries, the article wants to give more constructive suggestions to Chinese relating policies and regulations from the M&A designing angel, as to make a better direction and management of the newly coming and more cross-border M&A activities of MNC in China.
