As a new channel of financing for the real estate industry, the mezzanine finance is used to describe financing that fills the gap between debt and equity. It has become one of the major sources of financing for lenders who want to stay on the cutting edge of creative commercial lending.This paper introduced and analyzed the history and the scale of mezzanine financing, summarized the characteristics and operation pattern of mezzanine financing, considered the development actuality and financing structure of out real estate enterprises, analyzed the possibility of utilizing mezzanine financing in our real estate industry and gave some suggestions about how to develop the mezzanine financing. The purposes of this paper are solve the financing difficulties of some real estate enterprises by mezzanine financing and satisfy the needs both of the investor and real estate enterprises, also expect to perfect the real estate financing system in our country.The paper consists of the following parts:Part I states the requirement background of mezzanine finance recent development for a brief introducing of mezzanine finance concept.Part II introduces the theory knowledge about mezzanine finance.Part III clarifies the practice of mezzanine finance in the Hesperian finance, finance mode and actualize effect about mezzanine finance.Part IV analyzes the practice of mezzanine finance in our country, including the finance circumstance and actuality.Part V focuses on some issues on mezzanine finance in real estate, its relate to system bug and legal issues and so on, advance keep away the risk about the mezzanine finance.In the end analyzes case of Convertible Debt.
