Governance Of Listed Companies In Henan Province Study

The diversification of the company's capital structure and the separation of ownership and management inevitably resulted in the issue of corporate governance. Since the 80's in 20 century, the importance of corporate governance has become increasingly prominent so that the corporate governance has aroused the general interests both in theoretical circle and practical circle, which has been regarded as the key issue in establishing a modern enterprise system. The discussion on how to establish effective company governance system befitting the practical situation of China during the transferring economy period is meaningful both theoretically and practically.The listed companies are the representatives and main forces of all the enterprises in Henan Province. Their operating performances and competitive strengthens will not only directly decide their fates, but also give great impact on the reform process of the entire state-owned enterprises in Henan Province, and to some extent, change the economic prospects of Henan. Like most of China's listed companies, the listed companies in Henan Province were set up in a way of restructuring the state-owned enterprises and raising funds. Therefore, many problems emerged afterwards, including domination by one big shareholder, insider control, and invalid control, which further give birth to the corruption and high cost in management. All of these have greatly hindered the normal development of the modern enterprises.In this thesis, researcher combined the normative study with empirical study, and adopted both the qualitative analysis and quantitative analysis, and integrated the comparative analysis with synthesis and induction. Moreover, the researcher collected and trimmed the basic data reflecting the characteristics of corporate governance of listed companies in Henan Province. Through a detailed analysis and in-depth research on the basic data, the researcher pointed out the problems existing in the corporate governance of listed companies in Henan Province, and their causes as well. Based on the reference of relative researches in home and abroad and the practical experience in business management, the thesis provides reform methods and relative political suggestions for perfecting management ways of the listed companies in Henan Province. The conclusions of the study have a certain theoretical guidance and model significance, regarding the corporate governance of listed companies of the similar type.
