As the core content of modern corporate governance, the Board of Directors Governance receives increasing attention. Board of Directors is responsible for up to shareholders to decide the company's operating decision-making, under the supervision of managers to protect the interests of the shareholders. Board of directors is both an implementing agency and a decision-making body; the Board plays a role in the effectiveness of a direct impact on the performance of enterprises. As an institution, the Board should play its role, both have good organizational structure, and have required a good operating mechanism, a combination of the two organizations can ensure effective. At present, Currently, China's corporate governance is not perfect, how to play well the role of the board to protect the effectiveness of corporate governance, companies are facing one major problem. The purposes of this paper is an attempt from the Board of Trustees of the structure and mechanism of angle-phase together to study how they could play an effective role in the board of directors, to improve the efficiency of the board, improve business performance.In this paper, the structure of the board of directors beginning in the study of the functions of the Board focus on the composition and organization of the board and the composition of staff, including: knowledge structure of Board, the proportion of outside directors, board leadership structure, the size of the board of directors, professional boards to study how to build a reasonable structure of the Board of Directors; Mechanism of the board including management mechanism, operating mechanism, decision-making mechanism, incentive mechanism, constraints and oversight mechanisms, coordination mechanisms and evaluation mechanisms, the study of how sound the Board of Directors will be mechanisms to ensure the right line in the process of legitimacy, enthusiasm, efficiency, scientific, in order to ensure the operation of the Board of Trustees of quality and efficiency. Reasonable mechanism for the structure and sound complement each other to jointly safeguard the implementation functions of the Board of Directors.
