The outflow of FDI from developing countries is increasing year by year, and the transnational corporations are re-allocating their R&D resource worldwide. The Technology Sourcing FDI(TSFDI) turns out to be an effective way for developing countries to gain R&D resouces from transnational corporations to upgrade their technology level.After elaborated the theories for TSFDI and the superiority of the Reverse Technological Spillover, the thesis summarizes the paths of spillover. The enterprises can gain the Reverse Technological Spillover mainly through imitation effect, linkage effect, employee flow effect and platform effect. Then the thesis analyzes the factors that influenced the Reverse Technological Spillover based on the four paths of spillover, and devides them into enterprises characteristics, conduct factors and environmental factors of hostcountry. Utilizing the regression analysis of stepwise to identify the key factors, which include the imitation capability, the absorptive capability, appropriate technology gap, the embedded capability and the clustering level of hostcountry.Based on the practice of Chinese enterprises' TSFDI and its existing problems like the lack of imitation capability and absoptive capability, the low degree of embeddedness, the thesis proposes suggestions for Chinese enterprises. The enterprises should make good use of the opportunity of the re-allocation of R&D resouces of transnational coporations, advance its imitation and absorptive capability, strengthen its embedded ability and the control on overseas subsidiaries to maximize the Reverse Technological Spillover.
