The private equity (PE) can effectively improve the company's performance through investing and participating in the corporate governance. Since PE obtains high stable return in the long term, more and more investment companies want to change to this field. This paper is accomplished under such background.The author chooses A company as a research target. From financing approach of enterprises, the author analysis the whole industry that A located, furthermore, especially focuses on the factors as follows:stock right structure; business mode; producing process; market, etc. After collecting the financial data, calculating internal rate of return and estimating the risks, the author finally makes a decision. In the last chapter, this paper describes its own opinion about valuation estimate model and risk-control items such as profit guarantee item.
