A Company's Corporate Governance Analysis

With the development of China's economy, corporation governance is becoming the bottleneck of the reform of economy system. Our concern is how to realize the effective corporation governance to establish the modern enterprise system.In the process of China's agriculture change to modern agriculture, the innovation of production forms of organization is more far-reaching significance than a single agricultural technology breakthrough. Food is the foundation for the development of the national economy, as the first to the food production and processing-based listed company, the company is a typical representative of the food industry, this article will take the company as a typical case, researching how it works from the aspect of enterprise diagnosis.This paper put the focus on corporation governance in the company. On one side, it analyzed the internal control and principal-agent problem; on the other side, it contrasted the financial status before and after the splitting reform of stock-ownership and recommended the company the way to improve corporation governance. The study shows that the company still uses the insider control mode in its corporation control and it's needed to improve. Meanwhile, this paper proposed that bank-oriented mode is adaptive to the transition period of splitting reform of stock-ownership.This article is contributed to the adoption of the company analysis of the cases, to a certain extent, the analysis of corporate governance brought about by the effects and impact for other companies to provide a reference to corporate governance, as well as for our corporate governance research reference.
