'Language fossilization' has become a hot topic in the study realm of Second language acquisition. This paper chases Chinese middle-level and high- level English learners' vocabulary fossilization as object research, adopts the approach of vocabulary association, searches for the effect of semantic and syntax in native tongue' lemma on the formation of second language' vocabulary fossilization. and then suggests applying the research results to Chinese classroom teaching.Following are conclusions after research and analysis.First , both semantics and syntax in interlanguage act in the formation of 'vocabulary fossilization' of the Scond Language learners, when the semantics and syntax of Scond Language's vocabulary are different to learner's mother language.Second, As the semantics of Scond Language's vocabulary is different to learner's mother language,but the syntax of Scond Language's vocabulary is the same to learner's mother language, semantics act in the formation of 'vocabulary fossilization' of the Scond Language learners.Third, As the syntax of Scond Language's vocabulary is different to learner's mother language,but the semantics of Scond Language's vocabulary is the same to learner's mother language, syntax act in the formation of 'vocabulary fossilization' of the Scond Language learners.Fourth,the leavel of the Second Language's learners is not the reason of the Second Language's vocabulary fossilization,but,it is essential factor for the formation of the Second Language's vocabulary fossilization.
