Legal Thinking, Human Capital Investment Shares

Capital is the basis of the existance and operation of a company.The capical system is the security of profit as well as one of the core system of the Company Law, while the capital formation system is the most importat portion of the corporiate capital system.The traditional theory of the company law used to regard monetary,material object ,property rights and so on as the legal form of financial contribution, so as to play an important part in the capital credit and security .But with the coming of the knowledge economy era,people's knowledge and creative ability is playing more and more important role in the economic development, human capital has already taken the place of material resources and has become a rare resource and important production factors.In our country, some of the local regulations export the financial contribution of the human capital and implemente the encourging system and employee share holding system, which shows the growing increase in the requirements of the form of human capital in practice.However, the company law in most countries hold conservative attitude towards the financial contribution of human capital,which is the same as the company law in our country.For this point, the author tries to research the financial contribution of human capital by writing this paper, as well as putting forward some viewpoints, wish to promote the human capital system.
