Labor Laws In China's Overseas M & A Risk

Abstract/Summary:
In recent years, with the growing strength and the continuing expanding of China's enterprises ,which in the way of cross-border mergers and acquisitions(M&A) to outflow the capital to meet their development needs, But the overseas M&A is not the final goal,the successful M&A also are more than just sign the agreement and approved by the host-country. Labor law issue is the important thing before and after M&A.,which including the powerful of the trade union, the countining labor contract, the rapid labor cost , and the dismissal wage of the senior executive and so on.All these problems may block the successful M&A.This article is divided into six chapters.The first chapter is an overview of labor law risks , first summarize and classify the risks of the overseas M&A, then list the performance of these risks.Chapter II to the chapter V is the focus of article, which surrounding the form of labor law risks,analyze the succession of labor contracts, unions, dismissal or redundancy, pay and benefits in detail respectly, list the relevant legislative provisions and unwritten customary law. In the end of each chapter will be the conclusion of the author on the ground of the analysis ,also give some advices to these Chinese enterprises who have willing to M&A, to avoid losses because of these risks before and after the M&A ,In chapter VI, first analyze the impact on Chinese works in with the development of cross-border M&A in China, then compare the the issues which related to the M&A involved in chapterâ…¡toâ…¤, sum up the Chinese labor law regulations.
