This paper based on several normal mode of financing of small and medium-sized enterprise analyses the problem in legal environment, then solves problems, to improve financing mode, create a better development space for small and medium-sized enterprises.This article from the legal angle analyses small and medium-sized enterprises external financing problems. From the bank financing, folk financing, capital market financing to analyses the problem. Expounds the relevant laws and regulations of these major financing ways. Small and medium-sized enterprise financing problem is a global issue, most countries are facing small and medium-sized enterprises financing problems, also are looking for ways to solve this problem. These ways of financing are need to improve relevant laws and regulations to restrict and guide illegal behavior, protect legal financing activities. Through improve the bank credit, guide non-governmental financing development, perfect equity financing and debt financing, provide better external environment for small and medium-sized enterprise financing, promote the development of small and medium-sized enterprises.
