With the rapid development of modern corporate system, the social impact of the company is growing. From the composition point of our company, it is essentially a civil body composed by natural people. it also makes sense that the company will reflect the composition of the company’s natural will. With the powers of the Company tilted to the "Board", as the company’s management, composed of staff of the board, the power of directors grows strong. In order to prevent abuse of power director, legislations of most countries in the world today are restricted on the powers of the directors and require directors to assume some responsibility. This responsibility includes not only the responsibility of the directors as the company’s actual business managers, but also the tort liability of directors for intentional or gross negligence of third persons arising from infringement. This article is based on the analysis of the theory of director Infringement to a third party, further analysis the type of the directors tort liability of a third person, elements and liability approach,the aim is to achieve the directors of the third party system of tort liability. Taking into account of that the directors as the company’s managers’ need and preventing the liability of directors overweight affect powers of directors during normal exercise, the paper comparative analysis of the current national legislative director of community access to the third party tort liability The limit-free mechanism, and combined with the actual needs of the director focuses on insurance, in order to help our country’s relevant legislation.
