LFor a long time, there has not been so much relationship between thefinancial institution and the corporate governance, though the latter is taken as a 損rotecting labeP?which assures the investor of the deservable defence and reasonable reward of his/her capital. However, in recent years, some institutional investors in America, led by the pension fund, have shifted from passive capital to active capital by adopting a kind of capital strategy orientating corporate governance. In America and England, 揻inance function?and 揼overnance function?of the fund are indispensable for venture capital. In Japan and Germany, than main bank system and its sequel, corporate governance modal in which the bank occupies the dominant position, have been existing stably all along. All these facts that the financial institution has interfered in the corporate governance make the relationship between them be reconsidered. Based on practical investigations, the thesis reflects on the inner factors of the interference from the aspects of capability, stimulation, effect, etc, and intends to find out the decisive factor for whether interfering or not.
