Jing'an Fire The Mergers Red Machine Electrical And Integrated Countermeasures

As an exterior strategy, merger is the preference to most of the enterprises. Of course, it is by no means good for anything. Without knowing the real connotation and lack of through consideration of merger, many enterprises think only of becoming larger in size, what they did is just to put things together and finally had to bear the consequences. While some other enterprises which have better understanding of the corporate strategy and goal of merger, simply because of their lack in necessary means and skills of merger, also result in a number of mistakes which would have been avoided and thus affected result of merger, this also resulted in several hidden barriers for the future development of the enterprise. The Jing'an annexed Hongguang can be attributed to the later.By analyzing to the case of the merger between Jing'an and Hongguang based on the merging theories, the main problems showed during the merging are discovered and the topic of how to integrate the new company is discussed accordingly. This paper consists of four chapters: chapter one introduces basic theory of merger from its meaning. Chapter two reviews the history and background of Jing'an's merger process of Hongguang. Chapter three is the core of this thesis which analyses in detail of the mistakes and problems came forth during this merger from the aspects of corporate value evaluation, investment cost tactics selection, management system structuring and the integration of resources of both sides. Chapter four gives countermeasures and discussions on further integration to the current situation of new company .
