Corporate Mergers And Acquisitions, Financial Analysis And Operation Of Countermeasures

Financial operating plays an important role in the mergers and acquisition activity. The enterprises which take part in the mergers and acquisition should take the financial operating seriously, in order to ensure the M&A goes smoothly. This article tries to find out the distance between China and the developed countries in the financial analysing area, then establishes effective model of the financial operating system. This thesis is composed of four parts.Part One: analysis of the distance between China and the developed countries in the financial analysing of the M&A, then point out the reasons of the distance.Part Two: introduce the financial theories and the methods in the enterprises M&A activities of the developed countries, such as NPV and IRR. These methods are used to calculate the value of the target company, through comparing, then choose the suitable one for the enterprise which wants to merge.Part Three: discussing how to improve the financial operating of our enterprises and provide specific suggestion about it, including the selecting of the target company, value evaluating, effective evaluating, etc.Part Four: basis on the analyses, summarizing the main problem of the financial operating in the M&A activities of our countries, the advancing some suggestions on the financial analysing in the different phases.The core of this thesis is part three. It is basis on the analysing before, then try to establish the financial operating model which fits Chinese economic state. The article uses a lot of mathematical models and methods to do logically analysing. In the financial operating part, the article points out the enterprises should pay attention to evaluate the value of the two companies, in order to ensure the new company develops smoothly.
