This artical which is based on the theories of Institutional Economics,re-ferring to the analytical tools of New-institutionalism and using the method of combining positive analysis with normative analysis,systematically analyses the Non-governmental Economy transitive process that China has gone through.The main thread of this artical is the reasons,mechanism and pat-terns of institutional innovation of the Non-governmental Economy and deepenning of the marketoriented degree. The artical emphasizes comparative studying between innovational cost and institutional profit which comes from distinct limits of property rights and internalization of external cost.At the same time,it explains the mutual rela-tions between the development of Non-governmental Economy and institution-al innovation.The body of this paper consists of three parts.The first part ex-plains the concepts of Non-governmental Economy and transitive period and in-troduces some theories of Institutional Economics.The second part describes the development of Non-governmental Economy of China including the rural non-governmental eonomy and the town non-governmental econony.The third part dicusses the difference between the east and the west of China,non-gov-ernmentalization of state-owned economy,the function of the property rights arrangment and informal institution.
