This thesis is about merger & acquisition (M&A) which is hotspot in Chinese economic circles in recent years. A successful M&A can allocate social resourses efficiently, make the best of assets, and improve companies' performance at a fastest speed. Therefore, M&A has been an important approach to accelerate companies' developments. The research object of this thesis is M&A in listed companies in Chinese security market.Since Chinese security market was eatablished in early 1990's, M&A has appeared in listed companies and become more and more mature by innovating theories, enriching means and maturing patterns. But there are still many problems hi practice that M&A on financial statement which can only bring short-term effect are more than M&A on value which can really improve the company's competity. In order tosolve these problems, many new strict regulations have been worked out since 2001 which result in the stepwise standardization of M&A.The content of the thesis is composed of three parts:Part One: The basic theory of M&A.Part Two: The review and forecast of the progression of M&A in Chinese listed companies.Part There: Case study(Xintai technology corporation and Zhengzhou Baiwen corporation).
