The Third Plenary Session of the 14th Central Committee of the Chinese Communist Party has suggested that the aim of our state company's reform is establishing modern enterprise system, which characters are transparent property right, clear right and duty, separate government and company and scientific management. From then on, our state company's reform has being entered a new stage. Especially in September, 1999, the Fifth Plenary Session of the 14th Central Committee of the Chinese Communist Party pointed out that establishing and perfecting corporate governing structure was an important matter of modern enterprise system, which make corporate governing structure become a major question for discussion among academic and practical areas. This article's research is spread out under such background.The topic of this article is studying corporate governing structure of listed company's running and strengthening and perfecting corporate governing structure of listed company. The problem of corporate governing structure has become an international question which politicians, economists and jurists all pay attention to and study. There are many research works about this topic in and out of the nation. This article's research pays more attention to the application. Because instead of studying how to establish scientific corporate governing structure, this article mainly study how to perfect corporate governing structure of listed company of our country. The feature of this article is studying the operational status of listed company's corporate governing structure in the practice and trying to search for the ways to perfect listed company's corporate governing structure in our country. In this article, the author tries to avoid generalization, spreads the research closely around the problems of listed company's corporate governing structure in the practice and gets some constructive conclusion.In this article, firstly the corporate governing structure is analyzed at the angle of jurisprudence. It must reach the legal requirements and harmonize the legalconnections. Secondly, through investigating the feature and frame of the corporate governing structure in England, American, Japan and Germany, this article gets three important inspirations to perfect our country's corporate governing structure of listed company. Under this investigation, the author studies the operational status and problems of listed company's corporate governing structure in the practice. Then the author tries to search for the ways to resolve these problems and perfect listed company's corporate governing structure in our country.It is very difficult and complex to perfect listed company's corporate governing structure.
