Corporate system is the major form of China’s enterprises to be adopted, shareholders, board ofsupervisors is the main form of the corporate governance structure, in which shareholders will bethe company’s decision-making body. The Board’s primary function is the implementation of theresolutions of shareholders, and the primary duties of the board of supervisorsis to supervise thelegality of the shareholders, directors and management behavior. Found in the long-term practice:the causes of the Supervisory Board are not financially independent, supervisors and the unevenquality of the Supervisory Board itself is not independence, so that the Board of Supervisors canplay a supervisory role, therefore, the introduction of the common law of independent directorsystem, the supervisory authority of independent directors as a listed company must set itsintroduction conforms to the requirements of the times, is conducive to the improvement of China’scorporate governance structure, at the same time, due to the independent directors with strongexpertise and a wealth of experience, and their own economic independence from management, andtherefore have a strong independence. However, in practice, both in the process of co-operationwith some of the contradictions and problems, such as: poor information exchange, coordinationefficiency is not higher, etc., for such problems is given clear suggestions and comments and hopethat in practice on the basis of the theory of a high degree of co-operation with the board ofsupervisors and independent directors to assume the supervisory role of the listed companies, listedcompanies bigger and stronger, the overall effectiveness of the improved play practical utility.
