China's State-owned Investment Company Legislation, Research, Positioning And Development Trends

In China , the state-owned investment company ,which resulted from the reform of economy system and the reform of investment and financing system ,is viewed as a kind of institutional innovation .The state-owned enterprises :having privilege ;bearing particular responsibility ;achieving particular social goals .IN this thesis ,through analyzing and comparing "ideal state "and "real state "of State -owned investment company ,the author intends to put forward some legislative suggestions for the development of state-owned investment company.This thesis consists of four parts :chapter l,the contributing factors of state-owned investment company ;chapter 2,the present state and exiting problems of state -owned investment company ;chapter 3,the necessarily of legislating of state-owned investment company ;chapter 4,the tentative plan of the legislation for state -owned investment company .The author mainly focuses on chapter 3 and 4.According to the real condition of state-owned investment company in China ,me author thinks the basic reason ,which led to its development going against the goverment'original intention ,is that state -owned investment company hasn't been properly regulated by relative laws since it came into two respects : first ,in relative laws remaining in effect ,some provisions are out of date and can't be relied on in new situation ;meanwhile ,under the conditions of financial appropriate funds being canceled and political funds being delayed ,the government can't issue new financing policy in time .All of these led state -owned investment company to a dilemma .Second ,other provisions are ambiguous just providing a few of capital managing ways ,without specific regulations ,and can't be carried out practically .So the state -ownedinvestment company has to transfer to state holding company and state-owned assets management company .In chapter 3and 4,on the basis of analyzing the state-owned enterprises particularities ,functions and the objectives of the reform of state-owned enterprises ,considering the development of state-owned investment company in China ,referring to international conventions ,the author points out state-owned investment company must be properly oriented in legislation ,In author's opinion ,state-owned investment company is political investment institution and doesn't aim for profits ;It is a particular legal person whose capital must be appropriated by government and managed through market .It should take achieving social stability ,national security and public good ,etc .as the main pesponsibilities.
