At the key period of all-sided opening of Chinese money market, CCP and our government are paying high attention to the biggest four state-owned merchant banks reformation because of their close relation to our national economic and political stabilization. CCB and BOC were appointed as the examples. The author put forward systemic and distinct reformation claims of CCB in this thesis.The thesis is composed of six sections. In the leading part, it introduced the member of our country's bank system and pointed out that the reformation of CCB is the only way out. In the first chapter, it gave an objective reviewing on the history of CCB, and summed up its main progresses in the past ten years on management. In the second chapter, it analyzed the organization structure, corporation governance, ownership composition, finance status, faced-circumstance of CCB and so on. In the third chapter, it took the difficult problems into account such as owner's absence, high deputy cost, high systematic cost, corporation governance inefficiency, a great lot bad assets, severe circumstance, capital lack and excessive employee, etc. In the fourth chapter, it summarized many experiences and lessens on coming into the market, choosing mode of corporation governance, disposing bad assets, permanent financing and so on. In the last chapter, it went into thought on how to fully use present advantage, reasonably design the structure of organization and of ownership and of governance. It also give some advice on the reformation of management mechanism such as rewarding system, stuff structure, management of venture and of assets and of enterprise culture, finance product innovation and the like. Furthermore, it suggested that our government should loosen the policy environment of CCB.The thesis' logic is rigorous, and its logistic clue is clear: firstly looking back to the history, present deep-seated problems and nowadays' circumstance of CCB, then putting forward some systematic project depending on broad reference. In this thesis, there are not only many exact data, but also particular theoretic analyses and reformation claims. This thesis has also certain referenced value to the present reformation of CCB.
