Corporate Governance Evaluation System

In the life of economy and social of the world, the status of modern firms, especially listed firms, is enhanced increasingly. The public demanded the corporation to think and standardize its action. Corporation governance, which is concerned with the polices arrangement of enterprise's operation and control, is well attach importance by the scholars and the entrepreneurs in the world.By establishing and improving the structure of the corporation governance, the mechanism of the supervise and the balance of power will been improved and the benefits of the relation of stakeholders will been assured. The other important work is to establish the estimation of corporation governance. This work process involves estimation and pointing out status quo and judging the essence of conditions and finding the problems in corporation governance by establishing a scientific estimation system. Those problems should been settled in time with efficiency measure.This paper pointed that the estimation systems of corporation governance of lots of international corporations, such as Standard & Poor's, generally has not applicability by Analyzing and comparing their estimation systems .So we use it for reference only. Aim to the status quo and problems of corporation governance in our country, this paper point the principles of the composition of the estimation index number of corporation governance and establishes the concrete estimation index number system for listed firms that suits for our country's conditions, byanalysis of variance, improving of corporation governance and the characteristic of exterior environment of corporation governance . At last, writer applied the Delphi technique and statistical measures to researches the validity of those index number and point out the shortage in the estimation system by demonstration with information of some listed firms that were elected from the A-share of Shanghai Stock Exchange.
